1. Scope and acceptance

These Terms of Use ("Terms") form an agreement between you and CDHA.ai ("we", "us") covering the CDHA.ai platform, including the website, applications, API and all related features (the "Service").

By creating an account, confirming your acceptance, or continuing to use the Service, you confirm that you have read, understood and accepted these Terms. If you do not agree, please stop using the Service.

The Service is intended for users aged 18 or older who are healthcare professionals, healthcare facilities or research organisations with relevant expertise. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation.

2. Nature of the Service: decision support, not a substitute for a physician

CDHA.ai provides AI-generated analyses of medical images for professional reference. The output is NOT a medical diagnosis, is not a treatment prescription, and does not replace the judgement of a licensed physician.

The Service is not registered or approved as a medical device and must not be used for emergencies, vital-sign monitoring, or any situation where delay or error could directly harm a patient.

All clinical decisions remain the responsibility of the treating clinician and the healthcare facility. You must verify AI output against your own expertise, the original images and other clinical information before relying on it.

Features marked "Beta" (for example CDHA Pro) are experimental; they may change, be suspended or discontinued at any time and come with no commitment as to turnaround time or accuracy.

3. Accounts and access security

You must provide accurate registration information and keep it up to date. Accounts are personal; do not share your account, password or email sign-in codes with others.

You are responsible for all activity under your account. If you suspect unauthorised access, change your password and notify us immediately at [email protected].

We may record sign-in logs (time, IP address, browser) to protect your account and detect unusual access.

4. Patient data and anonymisation requirements

You may ONLY upload images and data from which patient identifiers have been removed (name, patient ID, date of birth, phone number, address, identifiable faces and other identifiers).

You confirm that you have a valid legal basis to process and transmit the data to the Service, including patient consent or another lawful basis under applicable healthcare and data-protection rules.

Do not upload data beyond what is necessary for professional reference, and do not use the Service as the system of record for medical records.

5. Data processing and third parties

To produce results, the images and clinical notes you provide may be transmitted to the AI model providers and computing infrastructure we use, to the extent necessary to operate the Service.

We select providers with appropriate security commitments and require that they not use your data for purposes other than providing their service to us.

Your data and results remain in your account until you delete them or request deletion. You may request deletion at any time via [email protected]; technical copies may persist in backups for a limited period before routine deletion.

We may use anonymised data and aggregate statistics to operate, assure quality and improve the Service.

6. Privacy

We process your personal data in accordance with our Privacy Policy and applicable data-protection law.

We apply reasonable technical and organisational safeguards, although no system can be completely secure.

7. Intellectual property

The platform, interface, source code, documentation, trademarks and all components of the Service belong to CDHA.ai or our licensors.

You retain all rights in the data you upload. You grant us a limited, non-exclusive right to use it solely to provide and improve the Service under these Terms.

Results are licensed to you for internal professional use. You may not resell or redistribute the results as a standalone service without a separate written agreement.

8. Permitted use and prohibited conduct

Do not use the Service to break the law, infringe the rights of others, or upload unlawful content.

Do not probe, interfere with, reverse engineer, extract models from, circumvent technical limits of, excessively automate access to, or overload the Service.

Do not use data or output from the Service to train, fine-tune or build a competing product without our written consent.

9. Plans, credits and payment

Some features require a paid plan or usage credits. Prices, limits and plan contents are published on the membership page and may change with prior notice.

Unless stated otherwise, fees paid are non-refundable, except where required by law or where a technical fault on our side prevents you from using the Service for a significant period.

Trials, promotions and bonus credits may carry their own conditions, expire, and may be withdrawn if abused.

10. Availability and changes to the Service

We work to keep the Service stable but do not guarantee uninterrupted or error-free operation. The Service may be suspended for maintenance, upgrades or safety reasons.

We may add, change or discontinue features; for material changes we will notify you in the application or by email.

11. Disclaimer of warranties

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, reliability, fitness for a particular purpose or non-infringement.

We do not warrant that AI output is complete, accurate or suitable for any specific clinical situation.

12. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, lost revenue, lost data or business interruption arising from or related to use of the Service.

Our total liability for all claims relating to the Service will not exceed the total fees you paid us in the 12 months preceding the claim.

These limits do not exclude liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify and hold us harmless against third-party claims arising from your breach of these Terms, your breach of law, or the data you upload to the Service.

14. Suspension and termination

We may suspend or terminate access if you breach these Terms, create risk for the system or other users, or where required by law.

You may stop using the Service and request account deletion at any time. After termination your access to data in the account ends, so export anything you need beforehand.

15. Incident reporting and quality feedback

If you find abnormal output, an error that could affect patient safety, or a security incident, please report it as soon as possible to [email protected].

Feedback and suggestions you send may be used to improve the Service without any payment obligation.

16. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you and ask you to accept again before continuing to use the Service.

The version of the Terms, the time and the IP address of your acceptance are recorded as evidence of consent.

17. Governing law and disputes

These Terms are governed by the laws of Vietnam.

The parties will seek to resolve disputes by negotiation first. Failing that, disputes will be submitted to the competent courts of Vietnam.
